            ARTICLE 1 - definitions

1. -     In these Bylaws;

1.1           Adult: refers to and individual as defined in the Alberta “Age of Majority Act”.

1.2           Adult Member: includes all Adult Primary Members and any Adult Spouse/Partner listed on a Family Membership.

1.3           Annual General Meeting: is required and defined in the Alberta “Societies Act”.

1.4           Child/Children: refers to individuals as defined under the Alberta “Family Law Act”.

1.5           Electronic Means: shall be in accordance with the provisions of the Alberta “Electronic Transactions Act”.

1.6           Family Membership: consists of at least one Adult member along with Dependants who can be the Spouse/Partner, and/or any Children.

1.7           Life Membership: is awarded at the discretion of the Club Executive and is restricted to members of the Club who, through long service to the Club merit special recognition for their service

1.8           Meeting: is any meeting of the Club called by any member of the Club’s Executive or any elected Chair or Chair appointed by the Club’s Executive.

1.9           Partner: refers to individuals defined as an “adult interdependent partner” in the Alberta “Interdependent Relationships Act”.

1.10       Primary Member: is either a holder of:

a.     an Individual Adult Membership, or

b.     an individual Life Membership, or

c.     the first Adult listed on a Family Membership.

1.11       Qualified Donee: refers to organizations defined in the Canada “Income Tax Act”.

1.12       Objects: are the stated purposes of the Club, registered with the Alberta Corporate Registrar.

1.13       Observer: may attend any Meeting, but shall not vote, and shall only participate in the Meeting upon invitation to do so from the Chair of the Meeting.

1.14       Regular Membership: is open to one Adult.

1.15       Special General Meeting: is any meeting of the Club membership called for their input to a specific matter.

1.16       Special Resolution: shall be in accordance with the provisions of the Alberta “Societies Act”.

1.17       Spouse: refers to individuals as defined in the Alberta “Income Tax Act”.

ARTICLE 2 - name

2.1           The name of the Society shall be the “Wildwood and District Rod and Gun Club", hereinafter referred to as the Club.

        ARTICLE 3 - members and membership

3.1           The Club Membership Year shall be April 1 through March 31.  All memberships purchased shall only be valid to the end of the respective Membership Year.

3.2           Club Membership consists of Regular Members, Family Members and their dependants, and Life Members.

3.3           All Annual Membership fees shall be set by the Executive through a motion made and passed with a 75% majority at an Executive Meeting.

3.4           The Membership fee shall be waived for all Life Memberships.

3.5           The Annual Membership fee can be waived for any member by the President, based on recognition for their service to the Club.

3.6           Any member of the Club can be expelled for non-compliance with the Club’s rules, or conduct which harms or tends to harm the standing of the Club in the eyes of the public. To do so, a motion with a 75% majority shall be passed at a duly called Executive meeting.

3.7           Any member of the Club wishing to withdraw from membership may do so upon a notice in writing to the Executive through its President.

ARTICLE 4 - Club executive

4.1           The Club Executive shall be comprised of the following:

a.     President;

b.     Two (2) Vice-Presidents;

c.     Treasurer;

d.     Communications Director;

e.     Two (2) Range Officers; and

f.       Up to Four (4) Directors-at-Large.

4.2           Any Adult Club member in good standing is eligible to be nominated as a candidate for any position on the Executive.

4.3           All positions on the Club Executive will be elected by the Membership at the Club’s Annual General Meeting.

4.4           The Executive may, through appointment. fill vacant Executive positions either left unfilled by the Annual General Meeting election process, or that may become vacant between Annual General Meetings.  These positions are filled individually by a majority vote of the Executive.

4.5           No elected member of the Executive shall receive any remuneration for their service as a member of the Executive, as opposed to service rendered to the Club in some other capacity.

4.6           No individual shall hold more than one elected position on the Executive at any given time.

4.7           Any member of the Executive can be removed from office for conduct detrimental to the best interests of the public or conduct which harms or tends to harm the standing of the Club in the eyes of the public. To do so, a motion with a 75% majority shall be passed at a duly called Executive meeting.

5.1           The President shall chair the Annual General Meeting, all Special General Meetings of the Club and all meetings of the Executive.

5.2           The President shall be an ex-officio member of all Committees.

5.3           The Treasurer shall receive all monies paid to the Club and shall be responsible for the deposit of same in whatever Bank the Executive may order.

5.4           The Treasurer shall properly account for the funds of the Club, keep such books as may be directed by the Executive and attend to its financial correspondence.

5.5           The Treasurer shall keep a full, current and historical record of the Club’s membership, and submit details of that membership as required or requested.  The Executive may delegate this duty to a Director-at-Large.

5.6           The Communications Director shall record and maintain custody of the minutes of proceedings from all meetings including the Annual General Meeting, Special General Meetings and Executive Meetings.

5.7           The duties of the Directors-at-Large shall be assigned by the Executive through a motion at an Executive Meeting as required.

         ARTICLE 5 - executive & borrowing powers

6.1           The Executive shall have the sole and exclusive power and authority to manage and operate the Club within the powers specified in the Alberta “Societies Act” and within Canadian Federal and Alberta Provincial laws.

6.2           The Executive is expressly empowered to purchase, lease, or otherwise dispose of shares, stocks rights, leases, or any right therein.

6.3           The Executive is expressly empowered to pledge as security any of the property solely owned by the Club upon such terms and considerations as it may deem advisable.

6.4           Debentures shall not be issued without a Special Resolution approved by the Membership at an Annual General Meeting or Special General Meeting.

ARTICLE 6 - general rules for meetings of the club

7.1           Attendees at Meetings of the Club are those entitled to attend by these bylaws and those invited by the Chair of the meeting.  Attendees are expected to observe standards for all Meetings of the Club including decorum and respect for all attendees.

7.2           Any meetings of the Club may be held in-person, or by Electronic Means, or as a Hybrid Meeting of these two options at the discretion of the Executive.

7.3           All Meetings of the Club including Executive Meetings shall be conducted according to the most recent edition of Robert’s Rules of Order.  Robert’s Rules of Order may be temporarily suspended during a meeting by majority vote of attendees to facilitate a meeting objective.

       ARTICLE 7 - Annual General Meeting

8.1           The Annual General Meeting of the Club shall be held once each year. The date, time, and place shall be decided upon at the previous Annual General Meeting, or in default, by the Executive a minimum of four months in advance of the selected date.

8.2           Formal notice of the Club's Annual General Meeting shall be communicated to each Primary Member by Electronic Means a minimum of 21 days before the Annual General Meeting.

8.3           Any Adult Member in good standing may attend, and vote, at the Annual General Meeting of the Club.

8.4           Proxy voting in any form is not permitted.

8.5           Quorum at any Annual General Meeting of the Club shall be 15 Adult Club Members in good standing, including Club Executives.  If quorum is not present at the scheduled start time for the meeting, that start time shall be delayed 15 minutes.  If quorum is still not achieved, quorum shall then be set at 75% of those Adult Club Members present.

       ARTICLE 8 - Special General Meetings

9.1           A Special General Meeting of the Club may be called at the discretion of the President.

9.2           A Special General Meeting of the Club may also be called by the Executive with the support of 75% vote in favor by the Executive in attendance at any Executive Meeting.

      ARTICLE 9 - Executive Meetings

10.1       There shall be a minimum of four Executive Meetings held each year. The Executive Meetings will be held at times and places selected by the President.  At least 48-hours’ notice shall be given to each member of the Executive by Electronic Means.

10.2       Any Adult Member in good standing may attend any Executive Meeting of the Club as an Observer.

10.3       Proxy voting in any form is not permitted.

10.4       Quorum at any Executive Meeting of the Club shall be a majority of the individuals filling non-vacant Executive positions.

      ARTICLE 10 - amendment of objects and bylaws

11.1       The Club’s Objects and Bylaws shall only be adopted, amended, revised, altered, or rescinded through a Special Resolution at either the Annual General Meeting or any Special General Meeting.

11.2       Objects and Bylaws so amended do not come into force until they have been duly registered with the Alberta Corporate Registry.

      ARTICLE 11 - Auditing

12.1       August 1st to July 31st shall be the end of the Club’s fiscal year.

12.2       The books, accounts, and records of the Club shall be audited at least once every year by a duly qualified accountant or by two Adult Club Members elected for that purpose at the previous Annual General Meeting.

12.3       A financial statement for the previous year setting out the Club’s income, disbursements, assets and liabilities, audited and signed by the Club’s auditor(s) for that year shall be submitted at the next scheduled Annual General Meeting.

12.4       The books, accounts, and records of the Club may be inspected by request in writing to the Executive by any Primary Member at a time satisfactory to the President.

12.5       Each member of the Executive shall at all times have access to such books, accounts, and records.

      ARTICLE 12 - procedure upon dissolution

13.1       Should the Club’s request for dissolution be approved by the Alberta Corporate Registrar, all of the assets solely owned by the Club, after payment of all debts, shall be donated to a Canadian Qualified Donee or Donees, as approved by majority vote of the Executive at a meeting called for the purpose of dissolution of the Club.
